Xpeng Announces Completion of SOP Delivery for Acquisition of DiDi’s Intelligent Car Development Business Assets

On August 13, Xpeng Motors announced that since the start of mass production and delivery of “MONA”, the SOP milestone under the share purchase agreement has been reached, and the SOP delivery for the acquisition of DiDi’s intelligent car development business assets has been completed.

According to the share purchase agreement, Xpeng has allocated and issued 4,636,447 Class A ordinary shares to DiDi as SOP consideration shares, accounting for approximately 0.24% of the company’s issued and outstanding capital stock after the issuance of the SOP consideration shares.

In August of last year, Xpeng Motors announced a strategic cooperation agreement with DiDi, which covers the research and development, design, and engineering development of new intelligent electric vehicles. Based on the expected significant synergies, Xpeng became the first car manufacturing company to receive full support from DiDi’s ecosystem.

According to the share purchase agreement, Xpeng Motors has initially allocated and issued 58,164,217 Class A ordinary shares to DiDi as the first consideration shares, accounting for approximately 3.25% of the company’s issued and outstanding capital stock after the issuance of the first consideration shares.
